1. Acceptance of Terms

By accessing or using the website at vtxtrd.com or engaging with the services of VTX Trading, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.

2. Services Description

VTX Trading provides performance marketing consulting and campaign management services, including but not limited to:

• Paid social advertising (Meta, TikTok)
• Search and display advertising (Google Ads)
• Analytics, attribution, and reporting
• Campaign strategy and creative consulting

Specific deliverables, timelines, and terms are defined in individual service agreements or statements of work executed between VTX Trading and the client.

3. Client Responsibilities

Clients agree to:

• Provide accurate and complete information necessary for campaign management
• Grant timely access to relevant advertising accounts, analytics platforms, and assets
• Review and approve creative materials and strategies within agreed timelines
• Ensure advertising budgets are funded and accessible

4. Payment Terms

Payment terms, including fees, invoicing schedules, and late payment conditions, are outlined in the individual service agreement or contract executed with each client. All fees are due as specified in the applicable agreement. VTX Trading reserves the right to pause or terminate services for non-payment.

5. Intellectual Property

All proprietary tools, automation software, bid management systems, reporting frameworks, and internally developed methodologies remain the sole intellectual property of VTX Trading. Client-specific creative assets funded by the client remain the property of the client upon full payment.

6. Limitation of Liability

VTX Trading shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use or inability to use our services. Our total liability to any client for any claim shall not exceed the total fees paid by that client in the three months preceding the claim.

We do not guarantee specific advertising results, ROAS targets, or conversion outcomes, as campaign performance depends on numerous factors outside our direct control including platform algorithms, market conditions, and client-side factors.

7. Termination

Either party may terminate a service agreement with written notice as specified in the applicable contract. Upon termination, all outstanding fees become immediately due. VTX Trading will provide reasonable transition assistance to ensure continuity of active campaigns.

8. Governing Law

These Terms of Service and any disputes arising from them shall be governed by and construed in accordance with the laws of the State of Florida, USA, without regard to its conflict of law principles. Any legal action shall be brought in the courts located in Broward County, Florida.
